In some cases, investors from foreign countries cannot become the legal representative of the company because of reasons as below:
- The cost of establishing a foreign-owned company is too high

In such cases, foreign investors should choose a Vietnamese to become the legal representative of the company. There must be written agreements between the vietnamese legal representative and the foreign investors, which indicates:
- The foreign investors can take control of all managements and operations of the company.
- The foreign investors own the company as true owners
- The Vietnamese legal representative receives salary and bonus (if available)
